The Company Secretary develops and executes the company’s corporate governance framework and holds primary responsibility for ensuring a compliant, effective and efficient Board processes. As a senior leader advising and supporting the leadership group and the Board, and inspired by their Christian faith, the Company Secretary will leverage their knowledge, faith and expertise to ensure World Vision Australia is able to realise our organisational vision, mission and identity for impact. This role is performed without appreciable supervision.

Key accountabilities of the Company Secretary

The Company Secretary is accountable for: the standard of Board and Committee Meetings, providing professional and Company Secretarial support, compliance to company legislative obligations, proper governance, and effective people management of their team. Within some of these areas of accountability, the Company Secretary will:

  • Counsel Chair(s) of Board and Board Committees of obligations, procedures and requirements, under applicable laws, constitutional documents and policies, and the World Vision partnerships governance structure and practice
  • Guide the Chair(s) and Directors in the conduct of meetings and supporting them in meeting their directorial and governance obligations, decisions and responsibilities
  • Ensure adherence with the Company’s Constitution, and carry out other functions required of the Company Secretary by the Constitution
  • Undertake regular Board performance reviews and counsel the Board on good practice in corporate governance practice, leverage the WV International governance framework and resources to assist
  • Partner with relevant staff, including Legal and Risk, to ensure all company legislative obligations are met (including those under the ACFID Code of Conduct, ACNC Act and ASX Principles of Good Governance, AICD’s NFP Corporate Governance principles)
  • Partner with the General Counsel to ensure that the Company complies with its statutory obligations under any relevant laws and regulations

Selection Criteria

Successful candidates will be able to demonstrate they have the required knowledge, skills and capabilities by addressing the following criteria:

  • 3-5 years’ experience as a Company Secretary within a large organisation
  • Professional conduct and demeanour with strong stakeholder management capability and experience working with C-suite and Board
  • Highly organised project management and planning skills
  • Business writing and presentation skills
  • Ability to manage competing priorities and make decisions under pressure
  • Willingness to provide Christian spiritual leadership
  • Preferred working experience in the Not for Profit sector
  • Experience working within matrix structure
  • AICD or GIA qualification
  • Degree qualified in related field

This is a permanent position that is flexibly either full-time or part-time for the correct candidate. It will be performed from our Head Office in Burwood East.
